PRIVÉX Equity Tokens (PVEX) may be redeemed in scheduled quarterly windows at Net Asset Value (NAV), subject to notice periods, regulatory lock-ups, redemption fees, proration or deferral when requests exceed available liquidity, and gating or suspension in periods of stress. Liquidity and pricing are not guaranteed. Full policy terms are below.

This Policy governs redemptions of the PRIVÉX security token (PVEX) at Net Asset Value (NAV). It does not apply to USDPROP (UPROP), which is a utility/access token used for staking and has no redemption right outside the terms of executed loan agreements.

• Redemptions are processed in scheduled quarterly windows at the then-current NAV per token.
• Requests must be lodged by the published cut-off date for that window.
• NAV is updated monthly on chain and supported by independent quarterly appraisals; redemptions reference the most recent published NAV.

• Reg D (Rule 506(c)) PVEX: Subject to a 12-month transfer restriction.
• Reg S PVEX: May be resold only offshore for at least 12 months; U.S. resales are restricted.
• All wallets must be KYC/AML-verified and whitelisted at the time of request.

• Redemption requests must be submitted ≥ 30 days before the opening of a redemption window via the platform dashboard.
• Requests may be cancelled prior to the cut-off date.

• Redemptions are funded from free cash flow, liquidity reserves (target ~5% of AUM), and/or capital events.
• If aggregate requests exceed available liquidity, they may be prorated, with the remainder deferred to a later window.
• The manager may set quarterly or aggregate caps to protect remaining investors.

• A redemption fee may apply (target 1.0% to cover administrative/transaction costs).
• The definitive rate is governed by the PPM and Subscription Agreement.
• Settlement typically completes after the window closes and operational reconciliations are complete.

Redemptions may be gated or suspended during:

• Periods of market stress
• Security incidents
• Appraisal delays
• Regulatory orders
• Other events described in the PPM and this Digital Deed

• After applicable lock-ups, compliant secondary trading may be available on regulated venues/ATS where eligible.
• Liquidity and pricing are not guaranteed.

• This Policy may be updated. In case of conflict, the PPM, Subscription Agreement, and Digital Deed of Participation control.

The PRIVÉX respects your privacy. This policy explains how we collect, use, share, and protect your information.

Personal information (e.g., name, email, contact details). KYC/AML identity verification data, and technical usage data (IP, browser, analytics).

To enable platform access, comply with legal/regulatory requirements (including Form D filings), verify investors, and improve security and performance.

PRIVÉX does not sell your data. Information may be shared only with trusted third-party providers for compliance or functionality, or disclosed if required by law/regulators.

Data is encrypted, access-controlled, and linked to wallet-level permissions and identity verification.

You may request access, correction, or deletion of your data, subject to applicable law.

This section summarizes ongoing and transactional fees applicable to the PRIVÉX Platform. Definitive terms are set forth in the Private Placement Memorandum (PPM), Subscription Agreement, and Digital Deed of Participation.

• Asset Management Fee — 1.5% per year on equity.
• Acquisition / Origination Fee — Up to 3% per transaction.
• Disposition Fee — Up to 3% of sale price.
• Performance Incentive (Carry) — Up to 50% above an 8% IRR hurdle.
• Administration / DAO Operations — Up to 0.5% of NAV.
• Redemption Fee — Target 1.0% of NAV (to cover administrative/transaction costs; final terms per Digital Deed §10.6 and Subscription Agreement).

Participants may also incur pass-through or platform costs associated with:

• KYC/Accreditation verification
• Custody and digital asset security
• Independent audits and compliance reviews
• On-/off-ramp fiat services
• Oracle feeds and compliance tooling
